Barn gets a little bent on this but I have to agree that there has to at least be some level of shareholder input.

All this comes somewhat by accident, since the NYSE and Nasdaq's regulations didn't directly target pay. "None of our rules specifically address executive compensation," says Brendan Intindola, a spokesman for the NYSE. "But one would think that with a compensation committee that is composed of a complete list of independent directors, you would get a more independent evaluation of those matters.

"Before the rules mandating director independence, boards sometimes lost track of their ultimate mission--protecting the interests of shareholders, says Mike Rhodes, who runs the corporate governance practice at the accounting firm Citrin Cooperman. "Since the rulings came out, there's been a greater awareness of the board's responsibility to oversee the CEO," Rhodes says. "At the end of the day, the board needs to be accountable to the investors."

Interesting but I think the mess surrounding REG SHO has more of an impact that CEO pay.
